These Terms of Service (“Terms”) form a binding agreement between you (“Merchant”, “User”, or “You”) and JKZ NETWORK, doing business as BookKei (“BookKei”, “we”, “us”, or “our”), an entity registered in the Dominican Republic.

By creating an account, accessing, or using the BookKei platform, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. Service Description

BookKei is a Software-as-a-Service (SaaS) platform that provides tools for online booking, appointment management, customer management, calendar integration, and payment-processing integrations for service-based businesses.

BookKei is a technology platform only. We are not a bank, money transmitter, financial institution, or insurer. We do not provide banking, deposit-taking, stored value, or money-transmission services, and we do not act as a merchant of record for your transactions.


2. Eligibility and Account Registration

To use BookKei, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal authority to enter into these Terms on behalf of yourself or your business.
  • Provide accurate, current, and complete registration information.

You agree that:

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You will promptly notify us of any unauthorized access or security breach.

3. Subscription Plans, Billing and Taxes

BookKei is offered on a recurring subscription basis (for example, monthly or annually), according to the plan you select.

  • Billing. You authorize BookKei or our billing provider to charge your selected payment method for all subscription fees and applicable taxes.
  • Changes to Pricing. We may modify our subscription plans or pricing. Any changes will apply to the next billing cycle and we will provide notice in advance where required by law.
  • No Refunds. Except where required by law or explicitly stated otherwise, all fees are non-refundable, including for partial subscription periods or unused Services.
  • Taxes. You are responsible for all applicable taxes, duties, and government charges associated with your use of the Services, other than taxes based on our net income.

4. Payment Processing and Third-Party Accounts

BookKei integrates with third-party payment processors (such as PayPal and Stripe) to allow you to accept payments from your customers.

  • Direct Relationship. Your contractual relationship for payment processing is directly between you and the third-party Payment Processor. You must agree to, and comply with, their separate terms and policies (for example, the Stripe Connected Account Agreement or PayPal’s terms).
  • Flow of Funds. BookKei does not hold, custody, or transfer funds on behalf of you or your customers. Funds are settled directly into your connected payment-processor accounts.
  • Fees. In addition to the fees charged by the Payment Processor, you agree to pay BookKei subscription fees and any additional charges specified in your plan. Fees may be deducted automatically or invoiced separately.
  • Chargebacks and Disputes. You are solely responsible for chargebacks, reversals, and disputes relating to your transactions. BookKei has no financial liability for disputes between you and your customers.

5. Calendar Integration and Availability

BookKei may connect to external calendar providers, such as Google Calendar or Outlook / Microsoft 365, to synchronize bookings and availability.

  • Third-Party APIs. Calendar integrations rely on third-party APIs. Availability of these features may be affected by outages, rate limits, or changes made by the calendar providers. BookKei is not responsible for such interruptions.
  • Data Access. When you connect a calendar, you authorize BookKei to read and write events (as configured) in your external calendar for the purpose of preventing double-bookings and managing appointments.
  • Conflicts and Data Accuracy. You are responsible for reviewing and confirming bookings and availability. While BookKei provides tools to reduce conflicts, we cannot guarantee that all conflicts will be detected or prevented.
  • Revocation. You may disconnect your external calendar at any time, but previously synced data may remain in the platform according to our data-retention practices.

6. Merchant Obligations

As a Merchant using BookKei, you agree to:

  • Provide the services booked through the platform at the agreed date, time, and quality level.
  • Comply with all applicable local, state, national, and international laws and regulations.
  • Maintain all licenses, permits, and authorizations required for your business.
  • Publish and clearly communicate your own cancellation, rescheduling, and refund policies to your customers.
  • Handle all customer support, service delivery, and after-sales obligations.

7. Prohibited Activities (Acceptable Use Policy)

To protect payment networks and our platform, you must not use BookKei for any illegal or high-risk activities. Prohibited activities include, but are not limited to:

  • Illegal drugs, controlled substances, or drug paraphernalia.
  • Weapons, ammunition, explosives, or services that promote violence.
  • Adult content, pornography, escort services, or sexual services.
  • Unregulated gambling, betting, or lotteries.
  • Pyramid schemes, multi-level marketing (MLM) programs, or “get-rich-quick” schemes.
  • Counterfeit goods, trademark or copyright infringement, or any intellectual-property violations.
  • Any activity prohibited by the PayPal or Stripe Acceptable Use Policies, or by applicable law.

We reserve the right to investigate, suspend, or terminate accounts that we reasonably believe are engaged in Prohibited Activities, without prior notice.


8. Booking, Cancellations and Refunds

  • Merchant as Seller of Record. You, not BookKei, are the seller of record for all services that your customers book through the platform.
  • Cancellations and No-Shows. You are responsible for setting and enforcing your own policies regarding cancellations, rescheduling, and no-shows.
  • Refunds. BookKei does not control or issue refunds to your customers. You are solely responsible for refunds and for resolving customer complaints relating to your services.
  • Customer Disputes. Any dispute between you and a customer must be resolved directly between you and that customer. BookKei is not a party to such disputes.

9. License and Intellectual Property

BookKei retains all rights, title, and interest in and to the platform, software, documentation, designs, trademarks, and other intellectual property.

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your active subscription.
  • You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from our software, except to the extent that such restrictions are prohibited by law.

10. Data Protection and Privacy

Your use of BookKei is also governed by our Privacy Policy and Cookie Policy. These describe how we collect, use, and protect personal data.

You are responsible for complying with all applicable data-protection and privacy laws (for example, GDPR or similar regulations in your region) when using customer data obtained through BookKei.


11. Third-Party Services and Links

The Services may link to, or integrate with, third-party products and services (such as payment processors, calendar providers, messaging services, or analytics tools). We do not control and are not responsible for these third-party services.

Your use of any third-party services is governed solely by their own terms and policies.


12. Service Availability, Maintenance and Updates

  • We strive to keep BookKei available and functioning smoothly, but we do not guarantee uninterrupted or error-free operation.
  • We may perform scheduled or unscheduled maintenance, updates, or changes to the Services. We will endeavor to minimize disruption where reasonably possible.
  • We may introduce new features, modify existing features, or discontinue features at our discretion.

13. Beta Features

From time to time, we may offer access to features identified as “beta”, “preview” or similar. These features are provided for testing and evaluation, may be less stable than other parts of the Service, and may be withdrawn at any time. Your use of beta features is at your sole risk.


14. Term and Termination

  • By You. You may cancel your subscription at any time through your BookKei dashboard. You will retain access to the platform until the end of the current billing period.
  • By Us. We may suspend or terminate your access to the Services if you breach these Terms, engage in Prohibited Activities, or if required by law or by our third-party partners (for example, payment processors).
  • Effect of Termination. Upon termination, your license to use the Services will cease. Certain provisions that by their nature should survive (such as payment obligations, indemnification, and limitation of liability) will continue to apply.

15. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, BookKei disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


16. Limitation of Liability

To the fullest extent permitted by law, BookKei, its owners, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

In all cases, BookKei’s total aggregate liability arising out of or relating to the Services shall not exceed the amount you have paid to BookKei for the Services during the three (3) months immediately preceding the event giving rise to the claim.


17. Indemnification

You agree to indemnify, defend, and hold harmless BookKei and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services;
  • Your breach of these Terms;
  • Your violation of any law or third-party rights; or
  • Your services, products, or interactions with your customers.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Dominican Republic, without regard to its conflicts-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved amicably between the parties. If no resolution is reached, the dispute shall be submitted to the competent courts of the Dominican Republic, unless another forum is required by applicable law.


19. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. If changes are material, we will provide additional notice as required by law (for example, via email or in-app notification).

Your continued use of the Services after the updated Terms become effective will constitute your acceptance of the changes.
